These Terms and Conditions (T&Cs) apply to all consulting services provided within the framework of the cooperation project Raus aus der Krise. This cooperation project is jointly conducted by Getzinger & Partners GmbH and Graef Consult GmbH. Deviating conditions of the client only apply if we expressly agree to them in writing.
1. Scope
These T&Cs govern the contractual relationship between the cooperation project Raus aus der Krise (Getzinger & Partners GmbH and Graef Consult GmbH as contractors) and their clients for all consulting and support services.
2. Subject Matter and Scope of Services
We provide consulting services in the areas of turnaround management, restructuring, rehabilitation, and strategic business consulting. The specific scope of services is defined in an individual offer or consulting contract.
This is a service contract. We owe the careful provision of the agreed services, but not a specific economic success.
3. Contract Conclusion
A contract is concluded by written order confirmation or by actual provision of the service. Offers are generally non-binding unless they are expressly marked as binding.
The initial consultation serves to determine needs and does not constitute a consulting service. Essential agreements require written form.
4. Remuneration and Payment Terms
Remuneration is based on the individual agreement and is understood to be plus statutory VAT. Unless otherwise agreed, invoices are to be paid within 14 days without deduction. Necessary expenses (e.g., travel costs) are calculated separately.
Payments can be processed via the service provider Stripe. Stripe's terms and conditions apply.
5. Client Obligations
The client provides all information, documents, and access required for service provision in a timely manner and informs about relevant changes. Delays resulting from lack of cooperation are at the client's expense.
6. Confidentiality and Data Protection
Both parties commit to confidentiality. We process personal data exclusively within the framework of legal provisions. Further information is contained in our Privacy Policy.
7. Intellectual Property Rights
All concepts, analyses, presentations, and other work results created by us are protected by copyright and remain the property of the cooperation project Raus aus der Krise (Getzinger & Partners GmbH and Graef Consult GmbH), unless otherwise agreed. Upon full payment, the client receives a non-exclusive right of use for internal purposes.
8. Liability
We are only liable for damages based on gross negligence or intent. In case of slight negligence, we are only liable for breach of essential contractual obligations (cardinal obligations) and limit liability to the contract-typical, foreseeable damage. Liability is limited to the amount of the agreed fee, insofar as legally permissible.
9. Term and Termination
The term is determined by the individual contract. Project contracts end upon fulfillment of the scope of services. Ongoing contracts can be terminated with a notice period of four weeks to the end of the month. The right to extraordinary termination for important reasons remains unaffected.
10. Dispute Resolution and Jurisdiction
Austrian law applies, excluding UN Sales Law. Exclusive place of jurisdiction is Linz, provided the client is an entrepreneur. The EU platform for online dispute resolution can be found at https://ec.europa.eu/consumers/odr/. We do not participate in dispute resolution procedures before a consumer arbitration board.
11. Severability Clause
Should a provision of these T&Cs be invalid, the validity of the remaining provisions remains unaffected. The invalid provision is to be replaced by a valid one that comes closest to the economic purpose.
12. Changes to the T&Cs
We reserve the right to change or supplement these T&Cs. We will inform you of significant changes at least 30 days in advance. If you object to the changes, you have the right to extraordinary termination.
